Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the EVIDENCEE platform provided by EVIDENCEE DMCC Ltd (“EVIDENCEE”, “we”, “us”), a company registered in England & Wales (company no. [to be inserted], registered office: [to be inserted]). By creating an account or using the platform, you agree to these Terms. Please read them carefully.
1. The Service
EVIDENCEE provides a compliance management platform designed to help UK subscription businesses meet the requirements of the Digital Markets, Competition and Consumers Act 2024 (DMCC) and associated CMA guidance. The platform includes readiness auditing, evidence recording, notice automation, cancellation management, cooling-off case handling, and audit bundle export functionality.
Important: EVIDENCEE is a software tool. We are not a law firm and do not provide legal advice. Compliance with the DMCC is your responsibility. EVIDENCEE helps you implement and evidence controls — it does not guarantee regulatory compliance or indemnify you against enforcement action.
2. Account Registration
- You must provide accurate information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must be 18 years or older and have authority to bind your organisation.
- Each account is for a single organisation (workspace). You may add multiple brands and team members within your plan limits.
- You are responsible for all activity that occurs under your account.
3. Subscription and Payment
- Free trial: All plans include a 14-day free trial. A payment method is required to activate your trial. A £1 authorisation check is made at sign-up and immediately refunded. Your subscription billing begins after the 14-day trial period unless you cancel.
- Billing: Subscriptions are billed monthly or annually in advance. All prices are in GBP and exclusive of VAT where applicable.
- Cancellation: You may cancel your subscription at any time. You will retain access until the end of your current paid period. No refunds are issued for partial periods.
- Plan changes: Upgrades take effect immediately (prorated). Downgrades take effect at the start of the next billing period.
- Seat and brand limits: Plans have user and brand limits. Exceeding limits will result in a notification and offer to upgrade. We will not cut off access without notice.
4. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or to facilitate illegal activity
- Attempt to reverse engineer, decompile, or access the source code of the platform
- Introduce malware, viruses, or other harmful code
- Scrape, data-mine, or bulk-extract platform content without written permission
- Resell or sublicense access to the platform without written agreement
- Use the platform to store or process data in violation of applicable data protection law
5. Data Ownership and Processing
- Your data: You retain ownership of all compliance data, evidence records, and configuration you create within EVIDENCEE.
- Data processing: We process personal data on your behalf as a data processor. Our Data Processing Agreement (DPA) governs this relationship and is incorporated into these Terms.
- Data export: You may export your evidence data at any time. On account closure, we will retain data for 90 days during which you may request an export.
6. Intellectual Property
EVIDENCEE and all platform technology, design, and content are owned by EVIDENCEE DMCC Ltd and protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable licence to use the platform for your internal business purposes.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- EVIDENCEE is provided “as is” without warranties of any kind beyond those required by law
- We are not liable for any indirect, incidental, special, or consequential damages
- Our total liability to you in any 12-month period shall not exceed the subscription fees you paid in that period
- We are not liable for regulatory fines, enforcement actions, or compliance failures — EVIDENCEE is a tool, not a compliance guarantee
8. Service Availability
We aim for 99.5% uptime but do not guarantee uninterrupted availability. Scheduled maintenance windows will be communicated by email in advance, and any incidents are reported via email to workspace administrators.
9. Termination
Either party may terminate this agreement. We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or fail to pay outstanding fees after notice. On termination, your access to the platform ceases at the end of any paid period.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We may update these Terms. Material changes will be communicated by email at least 30 days in advance. Continued use of the platform after the effective date constitutes acceptance.
